1. Introduction and Agreement

These Terms of Service ("Terms") govern your access to and use of the services, products, and infrastructure provided by Trellivox Connectivity Corp. ("we," "us," "our," or "Company"), a Canadian corporation registered with VAT number 710492856 RT 0001, operating from 1055 Dunsmuir St., Vancouver, BC V7X 1L4, Canada.

By accessing, browsing, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services. We reserve the right to modify these Terms at any time, and your continued use of our services constitutes acceptance of the modified Terms.

2. Services Description

Trellivox Connectivity Corp. provides mesh network infrastructure, connectivity solutions, and related technical services ("Services") across Canada. Our Services are designed to deliver reliable, high-performance wireless and wired connectivity solutions for residential, commercial, and industrial applications.

Service availability and performance may vary based on location, environmental conditions, and network capacity. We do not guarantee uninterrupted service, and maintenance windows may affect service availability. We will endeavor to provide 30 days' notice for scheduled maintenance where practicable.

3. Eligibility and Account Responsibility

You must be at least 18 years of age or the legal age in your jurisdiction to enter into these Terms. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account. Trellivox Connectivity Corp. is not liable for any loss or damage arising from your failure to protect account information.

4. Acceptable Use Policy

You agree not to use our Services for any unlawful or prohibited purpose, including but not limited to:

  • Violating any applicable laws, regulations, or third-party rights
  • Transmitting malware, viruses, or other harmful code
  • Unauthorized access to or interference with our network infrastructure
  • Harassment, threats, abuse, or defamatory content
  • Excessive bandwidth consumption or denial-of-service attacks
  • Illegal activity, fraud, or deception
  • Circumventing security measures or access controls

Violation of this Acceptable Use Policy may result in immediate termination of your Services and account suspension.

5. Intellectual Property Rights

All content, software, technology, trademarks, and intellectual property relating to our Services ("IP") are the exclusive property of Trellivox Connectivity Corp. or our licensors. You are granted a limited, non-exclusive, revocable license to use our Services for their intended purpose. You may not reproduce, modify, distribute, or reverse-engineer any part of our Services without written permission.

Any feedback, suggestions, or improvement proposals you provide to us may be used by Trellivox Connectivity Corp. without compensation or attribution.

6. Payment and Billing

Payment terms, billing cycles, and rates will be specified in your service agreement or invoice. You authorize us to charge your provided payment method for all Services rendered. Invoices are due within 30 days of issuance unless otherwise specified.

Failure to pay invoices on time may result in service suspension or termination. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to modify pricing with 30 days' written notice.

7. Service Level Agreement (SLA)

Where applicable, specific SLA terms will be outlined in your service contract. Generally, we target 99% uptime for our core infrastructure, excluding scheduled maintenance and events beyond our reasonable control. SLA credits, if applicable, are your sole remedy for service interruptions and are limited to a credit toward future services.

8. Data Protection and Privacy

Trellivox Connectivity Corp. collects and processes personal data in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Canadian privacy laws. Our Privacy Policy, available at our website, details how we collect, use, and protect your information.

We implement industry-standard security measures to protect data transmitted through our network. However, no transmission over the internet is completely secure. We are not liable for unauthorized data access resulting from circumstances beyond our reasonable control.

You retain ownership of data you transmit through our Services. By using our Services, you grant us a limited license to process such data for service delivery purposes.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRELLIVOX CONNECTIVITY CORP. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TRELLIVOX CONNECTIVITY CORP. IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Disclaimers and Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, secure, or meet all your requirements. Network performance may be affected by factors beyond our control, including weather, physical interference, equipment failure, and third-party network conditions.

11. Termination and Suspension

We reserve the right to suspend or terminate your Services immediately, without notice, if:

  • You violate these Terms or applicable law
  • Your account becomes delinquent
  • You engage in fraudulent or illegal activity
  • Your actions threaten our network integrity or security

Either party may terminate a service agreement with 30 days' written notice. Upon termination, you remain responsible for all charges incurred through the termination date.

12. Third-Party Links and Content

Our website and Services may contain links to third-party websites or services. Trellivox Connectivity Corp. does not endorse, control, or assume responsibility for third-party content, products, or services. Your use of third-party services is governed by their terms and policies.

13. Indemnification

You agree to indemnify, defend, and hold harmless Trellivox Connectivity Corp., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your infringement of third-party rights
  • Content you transmit through our Services

14. Dispute Resolution

Any disputes arising from these Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict-of-law principles.

Before initiating legal proceedings, we encourage you to contact our support team at support@trellivox.bond or +1 604 682 3319 to attempt resolution. If informal resolution fails, both parties agree to submit to binding arbitration under the Arbitration Act of British Columbia, with proceedings conducted in Vancouver, BC.

15. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with any service agreement or privacy policy, constitute the entire agreement between you and Trellivox Connectivity Corp. regarding your use of our Services.

16. Changes to Terms

Trellivox Connectivity Corp. may update these Terms at any time. Material changes will be communicated via email or prominently posted on our website. Continued use of our Services after such notice constitutes your acceptance of modified Terms.
